By using MeetWize AI (the "Service"), you agree to indemnify, defend, and hold harmless MeetWize AI, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these terms or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the Service using your account.

2. Scope of Indemnification

Your indemnification obligations include, but are not limited to, claims arising from:

  • Your use of the Service in violation of these terms
  • Recording conversations without proper consent from all parties
  • Violation of any third-party rights, including privacy, publicity, or intellectual property rights
  • Any content you submit, post, or transmit through the Service
  • Your violation of any laws or regulations
  • Any negligent acts, omissions, or willful misconduct

3. Recording Consent Responsibility

You acknowledge and agree that you are solely responsible for:

  • Obtaining all necessary consents before recording any conversation
  • Complying with all applicable local, state, and federal laws regarding recording
  • Understanding and following consent requirements in your jurisdiction
  • Informing all participants that a recording is taking place
  • Any legal consequences arising from unauthorized recording

MeetWize AI provides tools for recording but does not provide legal advice regarding consent requirements. You should consult with legal counsel if you have questions about recording laws in your jurisdiction.

4. Intellectual Property Claims

You agree to indemnify MeetWize AI against any claims that:

  • Content you record or upload infringes on third-party intellectual property rights
  • Your use of the Service violates any patent, trademark, copyright, or trade secret
  • Any modifications you make to our Service infringe on third-party rights

5. Privacy and Data Protection

You agree to indemnify MeetWize AI for any claims arising from:

  • Your violation of privacy laws or regulations
  • Unauthorized collection or processing of personal data
  • Failure to provide required privacy notices to recorded parties
  • Violation of data protection laws (GDPR, CCPA, etc.)
  • Sharing recorded content without proper authorization

6. Limitation of Company Liability

MeetWize AI shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Damages arising from your violation of recording consent laws
  • Third-party claims related to your use of the Service
  • Any damages exceeding the amount paid by you for the Service in the 12 months preceding the claim

7. Defense of Claims

If a third party makes a claim against MeetWize AI that falls under your indemnification obligations:

  • We will promptly notify you of the claim
  • You will assume control of the defense and settlement of the claim
  • We may participate in the defense with counsel of our choice at our expense
  • You will not settle any claim without our prior written consent
  • We will provide reasonable cooperation in the defense

8. Survival

These indemnification obligations will survive the termination of your use of the Service and will remain in effect for any claims that may arise from your use of the Service.

9. Governing Law

This indemnification agreement shall be governed by and construed in accordance with the laws of the jurisdiction where MeetWize AI is incorporated, without regard to its conflict of law provisions.
